User-Generated Content Terms

1. Introduction

Muvr Technologies, Inc., including its subsidiaries, affiliates, and related entities (collectively, “Muvr”), may, in its sole discretion, allow individuals and businesses, including customers, providers, partners, and other users (collectively, “Users” or “you”), to create, submit, upload, publish, send messages, or otherwise make available textual, audio, or visual content and information on Muvr’s platforms.

This includes, but is not limited to, reviews, ratings, photos, videos, comments, service feedback, customer inquiries, provider communications, and promotional content (“User-Generated Content” or “UGC”).

By using Muvr’s platform to create, submit, or distribute UGC, you confirm your agreement to be bound by these User-Generated Content Terms (“UGC Terms”), as well as Muvr’s Terms of Use, which govern all legal matters, including dispute resolution, modifications, and enforceability.

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND MUVR.

In these UGC Terms, the words “including” and “include” mean “including, but not limited to.”

2. Muvr’s Role Regarding User-Generated Content

You acknowledge that Muvr is an online service provider and not a publisher of UGC. While Muvr may, at its sole discretion, monitor, review, or remove UGC, it has no obligation to do so.

Muvr reserves the right to refuse to display, remove, edit, or disable UGC for any reason, including if Muvr determines that the content:

• Violates these UGC Terms or any of Muvr’s policies.
• May negatively impact Muvr, its brand, users, or operations.
• Violates applicable laws, regulations, or court orders.

Muvr does not endorse, approve, verify, or guarantee the accuracy, reliability, or legality of any UGC. Users remain solely responsible for the content they submit.

Muvr reserves the right to display, distribute, or combine UGC with other content on its platform, including marketing materials, service promotions, and customer testimonials.

3. License to User-Generated Content

UGC remains your property; however, by submitting or posting UGC to Muvr’s platform, you grant Muvr and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully sublicensable, and transferable license to:

• Use, copy, modify, distribute, publicly display, and create derivative works of your UGC in any format or media.
• Incorporate UGC into advertising, promotions, and service improvements across digital and print media.
• Translate, adapt, or edit UGC for clarity, compliance, or branding purposes.

Muvr is not required to seek your approval, provide compensation, or notify you before using your UGC.

4. Representations and Warranties

By submitting UGC, you represent and warrant that:

1. You own the content or have the legal right to share it, including all necessary permissions from third parties.
2. Your UGC does not infringe on any copyrights, trademarks, privacy rights, or other legal protections.
3. Your UGC complies with all applicable laws, regulations, and guidelines.
4. You assume all risks related to your content, including accuracy, reliability, and legal compliance.

You agree not to imply or suggest that your UGC is endorsed or verified by Muvr.

5. Prohibited Content & Conduct

You agree not to submit UGC that:

• Is false, misleading, or defamatory – Includes fake reviews, deceptive statements, or reputational harm.
• Contains hate speech, harassment, or discrimination – Includes racist, sexist, homophobic, or otherwise offensive material.
• Is obscene, explicit, or violent – Includes adult content, graphic violence, or sexually inappropriate material.
• Violates third-party rights – Includes unauthorized use of copyrighted material, trademarks, or confidential information.
• Promotes illegal, dangerous, or unethical behavior – Includes fraud, hacking, or service abuse.
• Compromises user privacy – Includes private or personal information without consent.
• Contains spam, promotions, or self-advertising – Includes unauthorized links, referral spam, or commercial solicitations.
• Encourages misconduct or unsafe practices – Includes risky behaviors that endanger service providers or customers.

5.1. Content Moderation & Removal

Muvr reserves the right to:

• Monitor, review, and remove UGC at its sole discretion.
• Restrict or suspend accounts for repeated or severe violations.
• Report illegal UGC to law enforcement authorities when necessary.

Muvr is not liable for the loss, modification, or removal of UGC.

6. Indemnification

You agree to indemnify, defend, and hold harmless Muvr, its affiliates, and their respective directors, officers, employees, agents, successors, and assigns from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

• Your UGC.
• Your violation of these UGC Terms.
• Any infringement, defamation, or legal dispute related to your content.

This obligation survives the termination of your account or agreement with Muvr.

7. Copyright & Intellectual Property Compliance

7.1. Only Share Content You Own

You confirm that your UGC does not infringe on copyrights, trademarks, or intellectual property rights.

7.2. Copyright Infringement & DMCA Takedowns

Muvr complies with the Digital Millennium Copyright Act (DMCA). If you believe that your copyright has been infringed, you may submit a takedown request with the following:

• A description of the copyrighted work.
• The location of the infringing content (URL or screenshot).
• A statement confirming your belief that the use is unauthorized.
• A declaration under penalty of perjury that your claim is accurate.

Muvr may remove infringing content and terminate repeat offenders.

8. Violation of Terms & Account Consequences

If you violate these UGC Terms, Muvr may:

• Remove or restrict your content.
• Suspend or terminate your account.
• Deny access to Muvr’s platform or services.

Severe violations may result in immediate action without prior notice.
