API and Integrations Terms

These API and Integrations Terms (“API Terms”) are published by Muvr Technologies, Inc. and its affiliates (“Muvr,” “we,” “us,” or “our”) and govern access to and use of any application programming interfaces, webhooks, SDKs, developer tools, and integrations (including third-party integrations) made available by Muvr (collectively, the “APIs”). These API Terms apply to any individual or entity that accesses or uses the APIs (“Developer,” “you,” or “your”), including business customers, partners, merchants, and Providers where applicable.
By creating API credentials, accessing the APIs, or using any integration that connects to the APIs, you agree to these API Terms, our Terms, Privacy Policy, Acceptable Use Policy, and any additional documentation or program terms we publish (collectively, the “Agreement”). If you do not agree, do not access or use the APIs.
If you have a separate written agreement with Muvr that expressly governs API access, that agreement controls in the event of a conflict.
1) Definitions
- APIs: Muvr APIs, webhooks, SDKs, and related developer tools.
- API Credentials: Keys, tokens, secrets, certificates, OAuth credentials, or similar access controls.
- Integration: Any application, system, plugin, workflow, or service that uses or connects to the APIs.
- Muvr Data: Data made available via the APIs, including booking, pricing, service status, user, provider, delivery, and operational data.
- Developer Data: Data you provide to Muvr via the APIs.
- End Users: Your customers, users, employees, contractors, or other authorized persons who use your Integration.
2) License and permitted use
Subject to your compliance with this Agreement, Muvr grants you a limited, revocable, non-exclusive, non-transferable license to access and use the APIs solely to:
- develop, test, and operate your Integration, and
- enable authorized End Users to interact with Muvr services through your Integration,
in each case as permitted by Muvr documentation and any program restrictions.
You may not use the APIs for any purpose not expressly permitted by this Agreement.
3) Eligibility, approval, and onboarding
We may require:
- registration and account verification
- business verification for business integrations
- security reviews, technical validation, and/or compliance attestations
- acceptance into a program or partner tier
We may deny or revoke API access at any time at our discretion, subject to applicable law.
4) API credentials and security requirements
You must:
- keep API Credentials confidential and secure
- not embed secrets in client-side code or public repositories
- use least-privilege access and rotate keys as appropriate
- promptly revoke and regenerate credentials if compromised
- implement reasonable security controls to protect Muvr Data and Developer Data
You are responsible for all activity under your API Credentials, including activity by your End Users or contractors.
5) Rate limits, performance, and usage controls
The APIs may be subject to:
- rate limits, quotas, concurrency limits
- pagination requirements
- maintenance windows and downtime
- usage restrictions by endpoint or program tier
You must comply with all limits and implement backoff/retry logic. We may throttle, limit, or suspend usage to protect Platform integrity.
We do not guarantee API uptime, availability, or performance.
6) Data use, privacy, and consent
A) Privacy compliance
You must comply with all applicable privacy and data protection laws (including where applicable CCPA/CPRA, GDPR, and state privacy laws) and must obtain all required notices, consents, and authorizations from End Users before collecting, using, or sharing personal data.
B) Use of Muvr Data
You may use Muvr Data only:
- as necessary to provide and operate your Integration for authorized End Users, and
- consistent with this Agreement and Muvr documentation.
You may not:
- sell Muvr Data
- use Muvr Data to build or train competing products
- use Muvr Data for ad targeting or cross-context behavioral advertising without explicit written permission
- attempt to re-identify de-identified data
- combine Muvr Data with other datasets to create profiles in a way that violates law or this Agreement
C) Data retention and deletion
You must retain Muvr Data only as long as needed for your Integration and must delete it upon:
- End User request where required by law,
- termination of this Agreement, or
- our written request, unless retention is required by law.
D) Incident reporting
You must promptly notify Muvr of any security incident involving API Credentials or Muvr Data, and cooperate with mitigation steps.
7) Prohibited uses and restrictions
You may not:
- reverse engineer or attempt to discover source code or underlying models/systems
- scrape or bulk download data beyond permitted use
- bypass authentication, rate limits, or access controls
- use the APIs to facilitate illegal activity, prohibited items, or policy violations
- interfere with the Platform or disrupt other users
- use the APIs to send spam, harassment, or abusive content
- create integrations that mislead users about affiliation with Muvr
- use the APIs for surveillance or to track individuals without consent
- share API Credentials or allow unauthorized third-party access
8) Third-party integrations and dependencies
If you use third-party services in your Integration (e.g., Zapier, Make, Salesforce, Stripe, Twilio), you are responsible for:
- complying with those third-party terms
- ensuring that data sharing is disclosed to End Users
- maintaining secure configuration
Muvr is not responsible for third-party integrations, downtime, or data practices.
9) Changes, versioning, and deprecation
We may update, change, or deprecate any API endpoint, SDK, or webhook at any time. We will attempt to provide reasonable notice for material breaking changes when feasible, but we do not guarantee notice.
You are responsible for maintaining compatibility and monitoring developer communications.
10) Fees and billing (if applicable)
If API access is subject to fees, those fees will be disclosed in Program Details or a separate written agreement. You are responsible for all applicable taxes and payment obligations.
We may modify fees with notice as required by law.
11) Intellectual property
Muvr retains all rights in the APIs, documentation, and Muvr Data. You retain rights to your Integration and Developer Data.
You grant Muvr a limited license to use Developer Data solely to operate and improve the APIs, provide support, prevent fraud, and comply with law, consistent with our Privacy Policy and applicable agreements.
12) Support and service levels
We may provide support at our discretion or as specified in program documentation. We do not guarantee response times or service levels unless agreed in writing.
13) Suspension and termination
We may suspend or terminate API access immediately if we reasonably believe:
- your Integration creates security, fraud, or operational risk
- you violate this Agreement or applicable law
- API Credentials are compromised
- you misuse data or exceed permitted use
- continued access may harm the Platform, users, or Muvr
Upon termination, you must stop using the APIs and delete Muvr Data as required by Section 6, unless retention is required by law.
14) Disclaimers
To the fullest extent permitted by law:
- the APIs are provided “as is” and “as available”
- we disclaim warranties of uptime, fitness, non-infringement, and error-free operation
- we are not responsible for losses caused by downtime, integration errors, or third-party services
15) Limitation of liability
To the fullest extent permitted by law:
- Muvr is not liable for indirect, incidental, special, consequential, or punitive damages
- Muvr’s total liability related to the APIs will not exceed the amount you paid to Muvr for API access in the 12 months before the event giving rise to the claim (or $100 if no fees were paid), unless prohibited by law
Nothing limits liability that cannot be limited under applicable law.
16) Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Muvr and its affiliates from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- your Integration or End User activities
- your breach of this Agreement
- your violation of law or privacy obligations
- your misuse of Muvr Data
- your security failures or credential compromise
17) Compliance and audit
We may request information reasonably necessary to confirm compliance, including security documentation, usage patterns, and data retention practices. You agree to cooperate with reasonable compliance requests.
18) Changes to these API Terms
We may update these API Terms at any time. Updates will be reflected by the “Last Updated” date above. Continued use of the APIs after updates constitutes acceptance of the revised API Terms to the extent permitted by law.
