Merchant Terms

Last Updated: March 15, 2025 These Merchant Terms (the “Merchant Terms”) are published by Muvr Technologies, Inc. and its affiliates (“Muvr,” “we,” “us,” or “our”) and govern access to and use of merchant, retailer, and partner features made available through our websites, mobile applications, APIs, and related services (the “Platform”) for the purpose of originating orders, requesting deliveries, arranging services for end customers, and/or otherwise integrating with Muvr (the “Merchant Program”). By creating a merchant account, requesting onboarding, using merchant tools, generating API credentials, submitting orders, or otherwise accessing the Merchant Program, you (the “Merchant,” “you,” or “your”) agree to these Merchant Terms, our Terms, and all applicable policies referenced herein (collectively, the “Agreement”). If you do not agree, do not use the Merchant Program. If you have a separate written agreement with Muvr that expressly governs your merchant relationship, that agreement controls to the extent of conflict.

1) Definitions

  • Merchant: The business entity enrolling in the Merchant Program.
  • End Customer: A consumer purchasing the Merchant’s goods or receiving Merchant services.
  • Merchant Delivery: A delivery or service request originated by the Merchant through the Platform, including via API or integration.
  • Order Data: Data submitted by Merchant (addresses, recipients, item details, instructions).
  • Merchant Materials: Merchant trademarks, content, product listings, and marketing assets.
  • Muvr Materials: Muvr trademarks, Platform content, APIs, documentation, and operational tools.
  • Provider: Independent service provider who performs delivery or other services arranged through the Platform.
  • POD: Proof of Delivery as defined in Delivery Proof and Acceptance Policy.

2) Relationship of the parties

Muvr is a marketplace platform. Providers are independent contractors and are not Muvr employees. Merchant is responsible for its products, product quality, packaging, labeling, and legal compliance. Merchant is not an agent of Muvr, and Muvr is not an agent of Merchant, except as expressly agreed in writing. Nothing in these Merchant Terms creates a partnership, joint venture, employment relationship, or fiduciary duty.

3) Merchant account setup and access controls

A) Eligibility and verification

Muvr may require:
  • business entity verification
  • tax information (EIN/VAT)
  • authorized signer verification
  • payout/billing verification (Stripe or other)
  • compliance documentation (licenses/permits where applicable)
We may deny or suspend onboarding at our discretion, subject to applicable law.

B) Admins and authorized users

Merchant is responsible for:
  • controlling account access
  • assigning admins and users
  • maintaining role-based permissions
  • removing access promptly when personnel change
Merchant is responsible for all activity under its account, including unauthorized use resulting from weak security practices.

4) Ordering, fulfillment, and merchant obligations

Merchant must:
  • provide accurate pickup and drop-off information (addresses, unit numbers, recipient names, phone numbers)
  • provide accurate item descriptions, counts, and handling instructions
  • ensure orders are ready at pickup time
  • provide lawful and safe pickup conditions (parking/loading access, staff availability)
  • comply with prohibited/restricted item rules
Merchant must not request delivery of prohibited items, hazardous materials, or anything unlawful. Merchant acknowledges that inaccurate order data is a leading cause of failed deliveries and disputes and agrees to maintain operational controls to prevent errors.

5) Packaging, labeling, and readiness standards (strict)

Unless the Platform explicitly includes packing services, Merchant is responsible for packaging. Merchant must ensure packaging is:
  • sealed and stable (no leaks)
  • appropriate to the product (fragile, upright, temperature-sensitive)
  • able to withstand normal transportation conditions (vibration, turns, braking)
  • labeled with correct order identifier and recipient name where applicable
Merchant must not ship items that are poorly packaged or likely to break, leak, or contaminate vehicles. Merchant is responsible for product quality and condition at handoff.

6) Prohibited and restricted items

Merchant Deliveries must comply with:
  • Restricted and Prohibited Items Policy
  • Delivery Restricted Items Policy
  • Firearms and Weapons Policy
  • Infestation and Biohazard Policy
Merchant must not tender prohibited items. If prohibited items are discovered, Providers may refuse pickup, and fees may apply. Repeated violations may result in suspension or termination.

7) Pickup, chain-of-custody, and delivery proof

Merchant Deliveries are governed by:
  • Deliveries Service Policy
  • Delivery Chain of Custody Policy
  • Delivery Proof and Acceptance Policy
Merchant must:
  • maintain reliable pickup handoff procedures
  • use order identifiers and handoff confirmation (scan or internal log) where feasible
  • provide accurate delivery instructions (signature/OTP requirements where offered)
  • ensure End Customers are reachable and prepared to accept delivery
Muvr determines delivery completion based on POD captured in accordance with policy and Platform logs.

8) Failed deliveries, returns, and re-delivery

Failed deliveries and return handling are governed by:
  • Failed Delivery and Returns Policy
  • Fee and Pricing Policy
  • Merchant Dispute and Refund Allocation Policy
Merchant is responsible for:
  • providing correct addresses and access details
  • establishing End Customer support processes for recipient unavailability
  • handling product returns unless Muvr explicitly offers return logistics as part of the program
Return and re-delivery availability is not guaranteed.

9) Pricing, fees, billing, and payment terms

Merchant fees and billing are governed by:
  • Business Billing and Invoicing Policy, and/or
  • Program Details in the merchant portal, and/or
  • a separate written agreement
Fees may include:
  • delivery/service fees
  • return/re-delivery fees
  • waiting time fees
  • cancellation and close-out fees
  • tolls, parking, and third-party charges
Merchant is responsible for timely payment and for maintaining valid billing methods.

10) Disputes, refunds, and allocation

Dispute handling and refund allocation are governed by:
  • Merchant Dispute and Refund Allocation Policy
  • Refund Policy
  • Claims Process and Evidence Standards
  • Business Claims and Liability Addendum (where applicable)
Merchant acknowledges that allocation depends on evidence (POD, logs, messages). Merchant agrees to provide supporting documentation promptly. Merchants should not promise refunds or delivery outcomes that exceed Muvr policies.

11) Chargebacks and fraud

Merchant must use the dispute process rather than chargebacks where possible. We may:
  • place holds, reserves, or limits for elevated chargeback risk
  • require OTP/signature for higher-risk deliveries
  • suspend Merchant Deliveries where fraud is suspected
Merchant must cooperate in fraud investigations and provide relevant order and customer support logs.

12) API and integrations

If Merchant uses APIs, webhooks, or integrations, Merchant also agrees to:
  • API and Integrations Terms
Merchant is responsible for:
  • secure credential handling
  • accurate data mapping
  • preventing duplicate orders
  • monitoring integration errors

13) Data protection and privacy

Merchant must comply with applicable privacy laws and provide required notices and consents to End Customers. Where Muvr Processes data on Merchant’s behalf, Merchant agrees to the Business Data Processing Addendum (DPA). Merchant must not use Muvr data for unlawful profiling, ad targeting without consent, or other prohibited uses.

14) Intellectual property and publicity

A) Merchant materials

Merchant grants Muvr a limited license to use Merchant Materials solely to:
  • display Merchant branding in the Platform
  • provide the Services
  • support co-marketing as expressly approved

B) Muvr materials

Merchant may use Muvr trademarks only as permitted by:
  • Partner Marketing Guidelines
  • any written co-marketing approval
Merchant may not create misleading “official” pages, domains, or support pages.

15) Compliance with laws and merchant responsibilities

Merchant is responsible for:
  • product compliance (safety, labeling, regulated goods)
  • consumer protection compliance (refund policies, warranties)
  • tax compliance for goods sold
  • any age-restricted compliance (if applicable and authorized)
  • export/import compliance where applicable
Merchant must not request Providers to violate laws, trespass, or deliver unlawfully.

16) Suspension and termination

We may suspend or terminate Merchant access for:
  • non-payment
  • repeated delivery failures due to Merchant operations
  • prohibited items violations
  • fraud, chargeback abuse, or policy violations
  • security risks or compromised accounts
  • reputational or legal risk
Upon termination, Merchant must stop using Merchant tools and Muvr brand assets as applicable. Outstanding fees remain due.

17) Disclaimers

To the fullest extent permitted by law:
  • the Platform and Merchant Program are provided “as is” and “as available”
  • we do not guarantee delivery times, acceptance, or availability
  • we do not guarantee that a specific Provider will accept any order

18) Limitation of liability

To the fullest extent permitted by law and unless a separate written agreement states otherwise:
  • Muvr is not liable for indirect, incidental, special, consequential, or punitive damages (lost profits, business interruption, reputational harm)
  • Muvr’s total liability for claims arising from Merchant Deliveries is limited to the amounts paid for the specific delivery/service giving rise to the claim (or the applicable policy cap), unless prohibited by law
Nothing in these Terms limits liability that cannot be limited under applicable law.

19) Indemnification

To the fullest extent permitted by law, Merchant agrees to indemnify and hold harmless Muvr and its affiliates from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
  • Merchant products, quality, labeling, packaging, or warranties
  • Merchant’s End Customer disputes (product issues)
  • Merchant’s violation of law or these Terms
  • Merchant’s misuse of data or integrations
  • prohibited items tendered by Merchant
This does not apply to the extent caused solely by Muvr’s willful misconduct.

20) Changes to these Merchant Terms

We may update these Merchant Terms at any time. Updates will be reflected by the “Last Updated” date above. Continued use of Merchant features after updates constitutes acceptance of the revised Terms to the extent permitted by law.
